01Who we are and what these Terms cover

These Terms of Service (the “Terms”) are an agreement between you and Chunk Technologies LLC (“Chunk Technologies”, “we”, “us”). They apply to your use of our website at chunktechnologies.com (the “Website”) and to the software engineering, cloud infrastructure, DevOps and automation, IT security, consulting and digital product services we provide (the “Services”).

  • Legal name: Chunk Technologies LLC
  • Jurisdiction: Limited liability company organized in Wyoming, United States
  • Registered address: 30 N Gould St Ste Nm, Sheridan, Wyoming 82801, USA

How these Terms fit with other documents

  • Website use. These Terms govern anyone browsing the Website or sending us an inquiry.
  • Project and consulting work. Services are delivered under a written agreement, statement of work, order form or proposal that we both accept (an “Order”). Scope, fees, timelines and deliverables are set out in the Order, not on the Website.
  • Order of priority. If an Order conflicts with these Terms, the Order prevails for that engagement, except for the mandatory consumer rights in section 17.
  • Related policies. Our Privacy Policy, Cookie Policy and Acceptable Use Policy form part of these Terms.
What is available today. The Website is informational; inquiries are made by email. We do not currently offer self-service accounts, online checkout or subscriptions through the Website. Sections 5 to 8 describe how those features will work if and when we introduce them, or where an Order provides for them. Products mentioned on the Website, including Chunkmint.dev and HeyServe, are described for information only; their availability and terms are provided separately and are not offered through these Terms unless we say so in writing.

02Definitions

  • “Business Customer” means a person or entity that uses the Services for purposes related to its trade, business, craft or profession.
  • “Consumer” means an individual who uses the Services wholly or mainly outside their trade, business, craft or profession, as “consumer” is defined by the law that applies to them.
  • “Customer” means a Business Customer or Consumer that enters into an Order with us.
  • “Customer Content” means data, code, configuration, files and other material that you or your users submit to or process through the Services.
  • “Deliverables” means the work product we agree to deliver to you under an Order.
  • “Chunk Materials” means the Website, our software, tools, documentation, know-how, templates, brand assets and pre-existing or independently developed materials, together with improvements to them.

03Eligibility and business and consumer customers

We provide Services to both businesses and consumers. You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. If you accept these Terms for an organization, you confirm that you have authority to bind it.

Business Customers (B2B)

Sections that refer to Business Customers, including the warranty disclaimers in section 14 and the liability limits in section 15, apply in full to Business Customers to the extent the law allows.

Consumers (B2C)

If you are a Consumer, nothing in these Terms removes or limits rights you have under mandatory consumer law, and where a clause would do so, it does not apply to you. Section 17 sets out the main protections.

Sanctions and export controls

You may not use the Website or Services if you are the target of sanctions or export restrictions that prohibit us from dealing with you. See the Acceptable Use Policy.

04Using the Website

You may use the Website for lawful purposes and in line with these Terms. In particular, you agree not to:

  • interfere with or disrupt the Website or the servers and networks that deliver it;
  • attempt to gain unauthorized access to the Website, other users’ data or our systems;
  • use automated means to scrape, overload or probe the Website in a way that is not permitted by our robots.txt or the Acceptable Use Policy;
  • submit false, misleading or unlawful content through the Website or in messages to us, or submit data on behalf of someone else without authority.

Information on the Website is general and provided for information. It is not professional advice and not an offer capable of acceptance. An inquiry starts a conversation; a contract for Services exists only when both parties accept an Order.

05Accounts and user responsibilities

The Website does not currently provide user accounts. Where we introduce accounts for a product or portal, or where an Order gives you access to our systems, the following applies.

  • You must give accurate, current information and keep it up to date.
  • You are responsible for keeping your credentials confidential and for activity under your account, unless it results from our breach of security.
  • You must tell us promptly at the contact address in section 19 if you suspect unauthorized use.
  • You must make sure your authorized users comply with these Terms and the Acceptable Use Policy.
  • You must give us the access, information, decisions and cooperation we reasonably need to perform the Services, and you remain responsible for the accuracy and legality of what you provide.

06Orders, fees and payments

Each Order states the Services, deliverables, fees, invoicing schedule and any acceptance process. We may decline or withdraw a proposal before you accept it. Unless the Order says otherwise:

  • fees are stated and payable in the currency named in the Order;
  • invoices are payable within the period stated in the Order, or if none is stated, within 14 days of the invoice date;
  • Business Customers who pay late may be charged interest at the rate stated in the Order or, if none is stated, at the highest rate permitted by law, and we may suspend Services on notice until overdue amounts are paid;
  • payment processing, if offered online, is handled by Stripe (Stripe, Inc. and its affiliates), whose own terms and privacy notice apply to payment data. We do not store full payment card numbers.

We do not currently take payments through the Website. If you dispute an invoice, tell us in writing with reasons promptly, and pay the undisputed part while we resolve the rest in good faith.

07Prices, taxes and refunds

Prices and taxes

Prices quoted to Business Customers exclude value added tax, sales tax, withholding and similar taxes unless the Order says otherwise. Business Customers are responsible for such taxes except taxes on our income. Where the law requires us to charge or collect tax, we will show it on the invoice. Where we sell to Consumers, we will show prices inclusive of taxes where the law requires it. Our tax registrations: not published on this Website; they appear on our invoices.

Refunds

We do not apply a blanket “no refunds” rule. Refund entitlements depend on the Order and on the law:

  • Business Customers: fees for work already performed are non-refundable except as the Order provides, or where we fail to deliver conforming Services and cannot or do not correct them within a reasonable period, in which case you are entitled to a refund of fees paid for the non-conforming part.
  • Consumers: refunds, withdrawal and remedies are described in section 17 and cannot be reduced by the Order.
  • Where Services are cancelled by us for reasons other than your breach, we will refund prepaid fees for Services not yet performed.

08Subscriptions and renewals

We do not currently sell subscriptions through the Website. If a recurring Service or SaaS product is offered, the Order or checkout page will clearly state, before you commit:

  • the price, billing interval and total recurring cost;
  • the initial term, whether and how the subscription renews automatically, and the renewal price;
  • how to cancel, using a method at least as easy as the one used to sign up; and
  • any free trial and what happens when it ends.

We will remind you before a renewal where the law or the Order requires. Cancelling stops future renewals; unless the law or the Order says otherwise, you keep access until the end of the paid period. Price changes for a renewal term take effect only after we give you reasonable prior notice and you have the opportunity to cancel.

09Intellectual property

We and our licensors own the Chunk Materials. These Terms give you no ownership of them. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for its intended purpose.

Deliverables: unless the Order says otherwise, and subject to payment in full, we grant you a perpetual, worldwide, non-exclusive licence to use the Deliverables for your internal business purposes, and we retain ownership of the Chunk Materials embedded in them. Where an Order expressly assigns ownership of specified Deliverables to you, the assignment covers only those Deliverables and excludes Chunk Materials and third-party and open-source components, which remain under their own licences. We will identify material open-source components on request.

The names “Chunk Technologies”, “Chunkmint.dev”, “HeyServe” and related logos are our brands or the brands of their owners. You may not use them without our written permission, except to refer accurately to us.

We may use your name and logo to say that you are a customer only with your prior written consent.

10Materials and content you provide

You retain ownership of Customer Content and of inquiry messages you send us. You grant us a limited, worldwide licence to host, process, copy and use Customer Content only as needed to provide the Services, respond to you and comply with law.

You confirm that you have all rights and permissions necessary to give us Customer Content and that it, and our use of it as permitted here, does not infringe anyone’s rights or violate law or the Acceptable Use Policy. Please do not send passwords, credentials or sensitive information by email or through the Website.

If we process personal data on your behalf as part of the Services, we will do so under a data processing agreement that meets applicable law (including Article 28 GDPR where it applies), which will form part of the Order. Our Privacy Policy explains how we handle personal data as a controller.

If you give us feedback or suggestions, we may use them without restriction or compensation, without acquiring any rights in your Customer Content or confidential information.

11Confidentiality

Each party will protect the other’s non-public business, technical and commercial information that is marked confidential or would reasonably be understood to be confidential, use it only for the purposes of the Order, and disclose it only to personnel and advisers who need to know it and are bound by equivalent duties. This does not apply to information that is public through no fault of the recipient, already known or independently developed by the recipient, or lawfully received from a third party, and it does not prevent disclosure required by law or a competent authority (with notice where permitted). The obligation continues for three years after the engagement ends, and for trade secrets for as long as they remain trade secrets. An Order may contain a separate non-disclosure agreement that prevails.

12Service availability and maintenance

We aim to keep the Website and any hosted Services available, but we do not promise uninterrupted or error-free operation. We may perform planned maintenance and emergency fixes, and may change or discontinue features. Where practical we will give advance notice of planned maintenance that materially affects a paid hosted Service.

Service levels, support hours and uptime commitments apply only if an Order states them. We are not responsible for downtime caused by events outside our reasonable control, your own systems or configuration, or third-party providers that you select.

Where Chunk Technologies provides data processing or cloud services to customers in the European Union, we will make available the switching and data-portability terms required by the EU Data Act (Regulation (EU) 2023/2854) in the relevant Order.

13Suspension and termination

By you

You may stop using the Website at any time. You may terminate an Order as stated in it. If an Order does not state a termination right, either party may terminate it for convenience on 30 days’ written notice, and you will pay for work performed and non-cancellable costs incurred up to the termination date.

By us

We may suspend or terminate access to the Website or Services:

  • immediately, if you materially breach these Terms or the Acceptable Use Policy, if required by law, or if necessary to protect the security or integrity of our systems or other customers, restricted to what is needed to address the issue;
  • after written notice and 14 days to cure, if you breach another material obligation, including non-payment;
  • on 30 days’ written notice for any reason, with a refund of prepaid fees for Services not performed.

Either party may terminate an Order immediately on written notice if the other becomes insolvent or ceases business. Where we suspend or terminate for a violation of the Acceptable Use Policy, the procedure and your right to appeal in that policy apply.

Effect

On termination, your rights to use the Chunk Materials end, accrued payment obligations remain due, and we will make Customer Content available for retrieval for a reasonable period stated in the Order (30 days unless the Order states otherwise) before deleting it, unless the law requires us to keep it. Sections that by their nature should survive (including intellectual property, confidentiality, liability, governing law) survive termination.

14Warranties and disclaimers

We will perform the Services with reasonable skill and care, in line with industry practice, and in substantial accordance with the applicable Order. Our entire liability and your exclusive remedy for a breach of this warranty (for Business Customers) is that we will re-perform or correct the non-conforming Services within a reasonable time, or if we cannot, refund the fees for the non-conforming part.

To the maximum extent permitted by law, and except as stated in these Terms or an Order, the Website and the Services are provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement and uninterrupted or error-free operation. We do not warrant that software will be free from vulnerabilities or that security services will detect or prevent every threat or incident. Information on the Website may contain errors or be out of date.

Some jurisdictions do not allow certain disclaimers. In that case they apply only to the extent permitted. Statutory guarantees owed to Consumers are not excluded (section 17).

15Limitation of liability and indemnities

What is never limited

Nothing in these Terms limits or excludes liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; wilful misconduct or gross negligence; any liability that cannot be limited or excluded under applicable law, including mandatory consumer law; or any matter that law requires us to bear.

Business Customers

To the extent permitted by law, in respect of Business Customers:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility; and
  • each party’s total aggregate liability arising out of or relating to an Order is limited to the fees paid and payable by you under that Order in the 12 months before the event giving rise to the claim. This cap does not limit your obligation to pay fees, or either party’s liability for breach of confidentiality or for infringement or misappropriation of the other party’s intellectual property.

Consumers

For Consumers we are liable under the law that applies to you for losses that are a foreseeable result of our breach or of our failure to use reasonable care and skill. We are not liable for losses that were not foreseeable, for business losses of a Consumer who uses the Services for business purposes, or for events outside our reasonable control, in each case only to the extent the law allows these limits.

Indemnity (Business Customers)

A Business Customer will defend and indemnify us against third-party claims arising from its Customer Content, its breach of the Acceptable Use Policy or its unlawful use of the Services. We will give prompt notice of the claim, allow reasonable control of the defence and cooperate at your cost. We will defend you against third-party claims that Deliverables created by us, used as permitted, infringe that third party’s intellectual property rights, excluding claims caused by your modifications, combinations or specifications.

16Governing law and dispute resolution

Business Customers

These Terms and any Order with a Business Customer, and any dispute arising out of or relating to them, are governed by the laws of the State of Wyoming, United States, and applicable US federal law, without regard to conflict-of-law rules that would apply another law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties will first try to resolve a dispute through good-faith discussions between senior representatives for 30 days after written notice. If that fails, the state and federal courts located in the State of Wyoming have exclusive jurisdiction, and each party consents to their jurisdiction and venue, unless the Order provides for arbitration. Either party may seek urgent injunctive relief from any competent court to protect confidential information or intellectual property.

Consumers

If you are a Consumer, these Terms are governed by Wyoming law and applicable US federal law, but this does not deprive you of the protection of mandatory provisions of the law of the country where you habitually reside. You may bring proceedings in the courts of the country where you live, and we may bring proceedings against you only in those courts, to the extent mandatory consumer law gives you those rights. Consumer arbitration clauses and class-action waivers do not apply to you where the law of your country prohibits them.

Alternative dispute resolution

The EU Online Dispute Resolution platform was discontinued on 20 July 2025. We are not obliged and have not committed to use an out-of-court consumer dispute body.

17Mandatory consumer rights

This section applies if you are a Consumer, and in particular a Consumer in the European Economic Area, the United Kingdom or another place with mandatory consumer law. It prevails over any other part of these Terms.

  • Your legal rights are preserved. Nothing in these Terms affects statutory rights that cannot be waived by contract, including rights to services and digital content that conform to the contract and to remedies when they do not (for example under Directive (EU) 2019/770 as implemented in your country).
  • Right of withdrawal. If you conclude a distance or off-premises contract with us as a Consumer in the EU, you generally have the right to withdraw within 14 days without giving a reason (Directive 2011/83/EU, Article 9). To withdraw, tell us clearly using the contact details in section 19; you may use the model withdrawal form in Annex I(B) of that Directive. Provided the law allows it, if you asked us to begin services during the withdrawal period you must pay a proportionate amount for what we have provided up to the time you told us you were withdrawing.
  • Limited exceptions. The right of withdrawal can be lost for fully performed services or for digital content not supplied on a tangible medium only if you gave your express prior consent to performance starting and acknowledged that you would lose the right, and we have confirmed this to you as the law requires. We will ask for this separately; it is never hidden in these Terms.
  • Refunds. If you withdraw, we will reimburse payments without undue delay and in any event within 14 days of being informed of your decision, using the same payment method unless you agree otherwise.
  • Pre-contract information and price transparency. We will give you the information required by consumer law before you are bound, including total price, taxes, duration and cancellation conditions.
  • Complaints. You may complain to us at the contact address in section 19 and to your national consumer authority.

We serve both Business Customers and Consumers, and this section applies to every Consumer.

18Changes to these Terms

We may update these Terms to reflect changes in law, our Services or our practices. The “Last updated” date at the top shows the latest revision. For material changes we will give reasonable advance notice by posting on the Website and, where we hold your contact details and you have an Order, by email. Changes do not apply retroactively to an Order already in force unless required by law or you agree; for continuing use of the Website, they apply from the effective date. If you do not accept a material change, you may stop using the Website or terminate as provided in section 13, and Consumers keep their statutory rights.

General terms: if a provision is unenforceable, the rest continues in effect; our failure to enforce a right is not a waiver; you may not assign these Terms without our consent, except to a successor of your business with notice; no third-party beneficiaries; the parties are independent contractors; and these Terms, with the Order and the incorporated policies, are the entire agreement on their subject. The language of these Terms is English; a translation is for convenience only.
